BY ACCESSING THIS WEBSITE, OR BY ENGAGING SPECTRUM SOLUTION W.L.L. FOR ANY CONSULTING OR ADVISORY SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS (“TERMS”). PLEASE READ THEM CAREFULLY, AS THEY AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS.

1. General

1.1 These Terms, together with any signed engagement letter, service proposal, or statement of work (“Engagement Document”) issued by Spectrum Solution W.L.L, form the complete agreement between Spectrum and the party engaging our services (“Client,” “you,” or “your”). Where there is a conflict between these Terms and a signed Engagement Document, the Engagement Document will prevail.

1.2 Spectrum Solution W.L.L. is a limited liability company registered in the State of Qatar, providing consulting and professional advisory services to businesses and individuals.

1.3 We may update these Terms from time to time. The updated version will take effect once posted on our website. For ongoing engagements, we will notify you of any material changes by email. Your continued use of our website or services after a change is posted constitutes acceptance of the revised Terms.

2. Eligibility

2.1 You must be at least 18 years old, or engaging on behalf of a legally registered entity with the authority to enter into contracts, to use our services.

2.2 We reserve the right to decline or discontinue an engagement at our discretion, including where we identify a conflict of interest, a compliance concern, or an inability to deliver the requested service.

3. Scope of Services

3.1 The specific services we provide, along with deliverables, timelines, and fees, will be set out in an Engagement Document. General descriptions of our services on this website are for informational purposes only and do not constitute a binding offer.

3.2 Any changes to the agreed scope of work must be confirmed in writing (including by email) and may result in revised fees or timelines.

3.3 Our advice and recommendations are based on the information you provide to us. We are not responsible for outcomes resulting from incomplete, inaccurate, or outdated information supplied by the Client.

4. Fees and Payment

4.1 Fees for our services will be set out in the applicable Engagement Document or invoice. Unless stated otherwise, invoices are payable within 14 days of the invoice date.

4.2 Late payments may attract an administrative fee and may result in suspension of ongoing work until the outstanding amount is settled.

4.3 Any disputes regarding an invoiced amount must be raised in writing within 15 days of the invoice date. We will investigate and respond in good faith, but reserve the right to treat undisputed amounts as due for payment in the meantime.

4.4 All fees are exclusive of applicable taxes, including VAT or any other levy that may apply under Qatari law, unless expressly stated otherwise.

5. Client Responsibilities

5.1 You agree to provide timely, accurate, and complete information reasonably required for us to perform the services.

5.2 You are responsible for reviewing deliverables and providing feedback within any timeframes agreed in the Engagement Document. Delays on your part may affect our ability to meet agreed deadlines.

5.3 You will not use our services, deliverables, or any associated materials for any unlawful purpose or in a manner that infringes the rights of any third party.

6. Intellectual Property

6.1 Unless otherwise agreed in writing, Spectrum retains ownership of all pre-existing methodologies, templates, frameworks, and proprietary tools used in delivering our services.

6.2 Upon full payment of applicable fees, the Client is granted a non-exclusive right to use the final deliverables prepared specifically for that engagement, for the Client’s own internal business purposes.

6.3 Neither party may use the other’s name, logo, or trademarks without prior written consent, except that Spectrum may reference the Client’s name and the general nature of the engagement (without confidential details) in its own marketing materials and case studies, unless the Client objects in writing.

7. Confidentiality

7.1 Each party agrees to keep confidential any non-public business, financial, or technical information disclosed by the other party in connection with the engagement, and to use it only for the purposes of that engagement.

7.2 This obligation does not apply to information that is already public, was already known to the receiving party, or is required to be disclosed by law or a competent authority.

7.3 This confidentiality obligation survives the termination or completion of the engagement.

8. Termination and Cancellation

8.1 Either party may terminate an ongoing engagement by providing 15 days’ written notice, unless a different notice period is specified in the Engagement Document.

8.2 Upon termination, the Client will pay for all work performed and expenses reasonably incurred up to the effective date of termination.

8.3 Spectrum may terminate an engagement immediately, without notice, if the Client fails to make payment when due, breaches these Terms materially, or engages in conduct that is unlawful or damaging to Spectrum’s reputation.

9. Limitation of Liability

9.1 We will exercise reasonable skill and care in performing our services. However, we do not guarantee any specific business outcome, financial result, or regulatory approval arising from our advice or recommendations.

9.2 To the extent permitted by Qatari law, Spectrum’s total liability arising out of or in connection with any engagement will not exceed the total fees paid by the Client for the specific engagement giving rise to the claim.

9.3 Spectrum will not be liable for any indirect, incidental, or consequential loss, including loss of profits, loss of business opportunity, or reputational damage, except where such exclusion is not permitted under applicable law.

9.4 Nothing in these Terms limits liability for fraud, gross negligence, or wilful misconduct.

10. Force Majeure

Neither party will be liable for delay or failure to perform its obligations where this is caused by circumstances beyond its reasonable control, including natural disasters, epidemics, war, civil unrest, government action, or interruption of utilities or telecommunications. The affected party will notify the other as soon as reasonably possible and take reasonable steps to resume performance.

11.1 The content on this website is provided for general informational purposes only and does not constitute professional advice. You should not act or refrain from acting based solely on website content without seeking a formal consultation.

11.2 We take reasonable care to keep website content accurate and up to date but do not warrant that it is free of errors or omissions.

11.3 You may not copy, reproduce, or distribute content from this website for commercial purposes without our prior written consent.

12. Personal Data

Any personal data you provide to us, whether through our website or in the course of an engagement, is handled in accordance with our Privacy Policy. By using our website or services, you consent to the collection and use of your information as described there.

13. Governing Law and Dispute Resolution

13.1 This Agreement is governed by the laws of the State of Qatar.

13.2 If a dispute arises, both parties agree to first attempt to resolve it through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue the matter before the competent courts of Qatar, unless the Engagement Document specifies an alternative dispute resolution mechanism (such as arbitration).

14. Waiver and Severability

If Spectrum does not enforce a particular provision of these Terms on one occasion, this does not waive our right to enforce it later. If any provision is found invalid or unenforceable, the remaining provisions will continue in full effect.

15. Entire Agreement

These Terms, together with the applicable Engagement Document, constitute the entire agreement between the parties regarding the subject matter and supersede any prior discussions, understandings, or agreements, whether written or oral.
